7. Indemnification

You agree to defend, indemnify, and hold harmless Code Four Labs, Corp., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware for the resolution of any disputes arising out of or relating to these Terms or the Website.

9. Termination

We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Website will immediately cease.

10. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Code Four regarding the use of the Website.

Part B — Platform / Services Terms Summary (Enterprise)

The following is a summary of key terms governing use of our law enforcement platform. Detailed terms are contained in customer agreements.

Enterprise-Only Services

Our Services are sold exclusively to police departments and public safety agencies ("Customers"). Access is provided to officers and staff designated by Customer ("Authorized Users"). Individual officers cannot sign up directly; access is provisioned through departmental agreements.

Customer Data Ownership

Customer retains all rights, title, and interest in and to Customer Data (including body-worn camera video, transcripts, reports, and attachments). Code Four processes Customer Data solely to provide the Services as instructed by Customer. Code Four does not claim any ownership rights to Customer Data.

Officer Verification Requirement

All outputs generated by Code Four are drafts intended for officer review.

Officers must review, edit as necessary, and sign the final report before submission. Code Four functions as a "copilot" to assist with documentation—the human officer remains responsible for the accuracy and content of any official report.

Acceptable Use

Authorized Users agree not to:

  • Bypass or circumvent access controls or authentication mechanisms
  • Tamper with audit logs, chain-of-custody records, or evidence integrity controls
  • Use the Services for any unlawful purpose or in violation of departmental policy
  • Share credentials or allow unauthorized individuals to access the platform

Security and Compliance

The Code Four platform is designed to support CJIS-aligned security controls, including:

  • Encryption in transit and at rest
  • Role-based access controls (RBAC)
  • Audit logging for key actions
  • Chain-of-custody aligned workflows

No-Training Commitment

Code Four will NOT use Customer Data to train or fine-tune general or shared AI models.

We may use only aggregated, de-identified operational metrics (e.g., processing times, error rates) to improve platform reliability and performance. Customer Data remains isolated and is never pooled across customers for model development.

Order of Precedence

In the event of a conflict between these Terms and the signed Customer Agreement, the Customer Agreement shall control. These Terms provide supplemental context and public disclosure of key platform commitments.
